Lindahl advises Disruptive Pharma in connection with reverse acquisition
Lindahl has acted as legal advisor to Disruptive Pharma Holding AB (publ) in connection with Guard Therapeutics International AB (publ) entering into a conditional agreement to acquire shares in Disruptive Pharma through a share issue in kind. The transaction is structured as a reverse acquisition and entails that Disruptive Pharma will become a subsidiary of Guard Therapeutics.
Through the transaction, Disruptive Pharma gains access to the capital markets and a platform for the continued development and commercialisation of the company's patent-protected technology Formulite®. Provided that all outstanding shares in Disruptive Pharma are acquired, Disruptive Pharma's shareholders will, following completion of the transaction, hold approximately 55 per cent of the shares and votes in the combined company. Following completion of the transaction, Disruptive Pharma's operations will constitute the company's principal business. In connection with the transaction, Guard Therapeutics also intends to change its name to Disruptive Pharma AB.
The transaction is conditional upon, inter alia, approval by the shareholders of Guard Therapeutics, approval for continued listing on Nasdaq First North Growth Market, that the transaction is approved or left without action by the Inspektionen för strategiska produkter (ISP) in accordance with the Act (2023:560) on the Review of Foreign Direct Investments, and other customary conditions.
