Capital markets and public M&A at Lindahl: Expertise, working environment and range
When companies prepare for a stock exchange listing or carry out new share issues, the right legal guidance is crucial. At Lindahl, more than 50 lawyers specialise in capital markets and public M&A, with assignments spanning the entire journey from stock exchange listings, capital raising, general meetings and incentive programmes. Monica Lagercrantz, partner in the firm's capital markets group, talks about why clients choose Lindahl and how the pleasant working environment contributes to quality.
Capital markets and public M&A – law that enables growth
Listed companies live in a state of constant change. Rules are updated, market conditions shift and the need for fast, clear advice is constant. Lindahl's team of lawyers supports companies on a daily basis at different stages – from stock exchange listings to new share issues and ongoing disclosure.
– We support companies all the way from preparations for a stock exchange listing, through capital raising and the listing itself, to the advice needed afterwards. We all have different backgrounds and specialist expertise, so we complement each other well in the team, says Monica Lagercrantz, partner at Lindahl and expert in capital markets and public M&A.
Thanks to Lindahl's breadth, clients can also receive support beyond capital markets and public M&A, for example when buying and selling companies, with tax matters or employment law – areas that are often on the agenda for clients.
– It's an advantage to be a large firm and have all the expertise gathered together, not least when it comes to tax advice, which often plays a key role. Our breadth means that we can provide support all the way, it doesn't matter whether the companies are at the beginning of their growth journey or well established in Sweden or globally.
Lindahl carries out the most public transactions of all firms
The firm's expertise and breadth are also appreciated by clients, and looking back over recent years (2022 - 2025), Lindahl is in fact the law firm in Sweden that has carried out the most public transactions in terms of prospectus-requiring stock exchange listings and new share issues.
– That volume and experience is of course extremely important, and helps us to be even more relevant and efficient in relation to the companies and the financial advisers we work with.
Working environment and expertise are connected
Monica Lagercrantz also wants to highlight that legal quality is not just about the right expertise and experience, but also about the team and the working environment.
– It's teamwork, both with clients and internally within the firm.
After several leading roles at Lindahl, today as vice chair of the board, she emphasises that commitment, structure and joy in everyday work are prerequisites for delivering sustainably at a high level.
– We laugh a lot at work. You have to have fun as a balance to the seriousness of our tasks.
"Don't be in such a hurry" – Monica's advice to new lawyers
Monica's own path into law was not straightforward, and she had time to try several professions and courses of study.
– It was pure chance from the beginning. I had studied journalism at college in the USA and worked in finance in Norway for several years, worked at a haulage company and at a call centre before I realised that I should become a lawyer. I looked through the university course catalogue and quickly concluded that what I would probably be best at was law. At the same time, I met an old school friend who was studying law and then I felt that "if he can do it, so can I!"
Today she values the experiences outside law. They have provided stability, nuance and understanding, something that clients also notice and appreciate.
– My best tip for those considering starting a law degree and for newly qualified lawyers is not to be in such a hurry. Do other things before you start working as a lawyer. You gain greater gravitas in the job and can handle challenging situations more easily.
